  • "Services" means car rental management software, including but not limited to booking management, fleet tracking, payment processing, reporting, and related services.
  • "Platform" means the online software application provided by the Company for managing car rental operations.
  • "User Data" means any information, data, or content provided by the Client through the Platform.
  • "Intellectual Property" means all patents, trademarks, copyrights, and other proprietary rights associated with the Platform.

2. General Terms

2.1 Acceptance of Terms

By accessing and using the Drive Accessible platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the service.

2.2 Modifications to Terms

Drive Accessible reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website. Your continued use of the service following any such modification constitutes your acceptance of the modified terms.

2.3 Service Availability

While we strive to maintain continuous service availability, Drive Accessible does not guarantee uninterrupted access to the Platform. We may perform maintenance, updates, or other activities that may temporarily interrupt service.

3. Services Description

Drive Accessible provides comprehensive car rental management software including:

  • Booking and reservation management
  • Fleet and vehicle tracking
  • Payment processing and invoicing
  • Customer management
  • Financial reporting and analytics
  • Digital rental agreements
  • Automated notifications and reminders
  • Multi-user access and role management

The Company reserves the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice to the Client.

4. User Obligations

4.1 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.2 Acceptable Use

You agree not to use the Platform for any unlawful purpose or in any way that violates these Terms and Conditions. Specifically, you agree not to:

  • Use the Platform for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Platform or its systems
  • Transmit viruses, malware, or any code of destructive nature
  • Harass, abuse, or harm other users
  • Violate any applicable laws or regulations

4.3 Data Accuracy

You agree to provide accurate, current, and complete information when using the Platform. You are responsible for maintaining the accuracy of your data.

5. Payment Terms

5.1 Subscription Fees

Subscription fees are charged according to the plan selected by the Client. Fees are billed monthly or annually as specified in the subscription agreement.

5.2 Payment Methods

We accept payment via credit card, bank transfer, and other methods as specified on the Platform. All payments must be made in the currency specified in your subscription agreement.

5.3 Billing

Invoices will be provided electronically. You agree to pay all invoices within the specified payment terms. Late payments may result in suspension of service.

5.4 Refund Policy

Refunds are available within 14 days of purchase for unused services. After 14 days, no refunds will be issued. Refund requests must be submitted in writing to our support team.

5.5 Price Changes

Drive Accessible reserves the right to change subscription fees with 30 days' written notice. Continued use of the service after the notice period constitutes acceptance of the new fees.

6. Intellectual Property Rights

6.1 Company Ownership

All content, features, and functionality of the Platform, including but not limited to software, design, text, graphics, and logos, are the exclusive property of Drive Accessible or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform solely for your business purposes in accordance with these Terms and Conditions.

6.3 User Data Ownership

You retain ownership of all data you upload to the Platform. By uploading data, you grant Drive Accessible a license to use, store, and process your data for the purpose of providing the Services.

6.4 Restrictions

You may not reproduce, modify, distribute, or transmit any content from the Platform without prior written permission from Drive Accessible.

7. Limitation of Liability

7.1 Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Drive Accessible makes no warranties, expressed or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Damages

In no event shall Drive Accessible be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, even if advised of the possibility of such damages.

7.3 Maximum Liability

The total liability of Drive Accessible for any claim arising out of or relating to these Terms and Conditions shall not exceed the amount paid by the Client in the 12 months preceding the claim.

7.4 No Liability for Third-Party Services

Drive Accessible is not responsible for any third-party services, products, or content that may be accessed through the Platform.

8. Termination

8.1 Termination by Client

You may terminate your subscription at any time by providing written notice to Drive Accessible. Termination will be effective at the end of your current billing period.

8.2 Termination by Company

Drive Accessible may terminate or suspend your account if you violate these Terms and Conditions or engage in unlawful activity. Termination will be effective immediately upon notice.

8.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. You remain responsible for any fees incurred prior to termination. Data may be deleted after a reasonable retention period.

8.4 Survival

Sections regarding Intellectual Property, Limitation of Liability, and Dispute Resolution shall survive termination of this Agreement.

9. Dispute Resolution

9.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Drive Accessible is incorporated, without regard to its conflict of law provisions.

9.2 Arbitration

Any dispute arising out of or relating to these Terms and Conditions shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

9.3 Injunctive Relief

Notwithstanding the arbitration provision, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

9.4 Informal Resolution

Before initiating arbitration, the parties agree to attempt to resolve any dispute through good faith negotiation.

10. Miscellaneous

10.1 Entire Agreement

These Terms and Conditions, together with any other agreements between you and Drive Accessible, constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements.

10.2 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Waiver

The failure of Drive Accessible to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

10.4 Assignment

You may not assign these Terms and Conditions or any rights or obligations hereunder without the prior written consent of Drive Accessible.
